TERMS OF SERVICE

Welcome to FintastIQ. These Terms of Service (“Terms”) govern your access to and use of all services provided by FintastIQ LLC, a Nevada limited liability company, through any website, platform, application, or service operated under the fintastiq.com domain and its subdomains (collectively, the “Services”). This includes, without limitation:

  • www.fintastiq.com (corporate website)
  • assess.fintastiq.com (self-serve capability assessment)
  • diagnose.fintastiq.com (engagement-level commercial diagnostics)
  • academy.fintastiq.com (online learning platform)
  • toolkit.fintastiq.com (downloadable frameworks, calculators, and playbooks)
  • signals.fintastiq.com (competitive intelligence and market signal monitoring)
  • All integrated software modules for pricing, sales, marketing, and product analytics
  • Any future property hosted on fintastiq.com or its subdomains

By accessing or using any of our Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree, you must not use the Services.

Consulting engagements are governed by separate Statements of Work (“SOW”), engagement letters, or consulting agreements. In the event of a conflict between these Terms and a signed engagement agreement, the engagement agreement governs for that specific engagement.

1. Account Registration and Authentication

Access to FintastIQ platforms requires account creation through Google Cloud Identity or Microsoft Entra ID. A single account provides unified access across all FintastIQ properties through single sign-on (SSO).

By creating an account, you agree to:

  • Provide accurate and complete registration information
  • Maintain the confidentiality of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately at legal@fintastiq.com of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

2. Description of Services

2.1 Capability Assessment (assess.fintastiq.com)
The self-serve assessment platform provides diagnostic evaluations across four commercial capability areas: pricing, sales, marketing, and product. Assessment results may incorporate AI-assisted scoring and analysis. Results are intended as directional guidance and do not constitute professional advice for any specific business decision.

2.2 Commercial Diagnostics (diagnose.fintastiq.com)
The diagnostics platform provides deeper, engagement-level analysis of commercial capabilities. This tool is typically used in connection with a consulting engagement and may involve the upload and processing of sensitive business data, including pricing structures, margin data, revenue breakdowns, and competitive positioning.

Data submitted to diagnose.fintastiq.com is subject to the confidentiality protections described in Section 7 and any additional protections specified in the applicable Statement of Work or engagement agreement. FintastIQ applies heightened data handling safeguards to engagement-level data, including restricted access, encryption at rest and in transit, and audit logging of data access events.

2.3 FintastIQ Academy (academy.fintastiq.com)
The Academy provides online courses, frameworks, and tools. Access terms:

  • Free tier: The first module of each course is available free of charge, indefinitely
  • Paid plans: Full course access requires a paid subscription, which includes a 7-day free trial period
  • Completion certificates: Issued upon successful completion of applicable requirements
  • Corporate reimbursement: Information on employer reimbursement is available through the platform

2.4 Toolkit (toolkit.fintastiq.com)
The toolkit provides downloadable frameworks, calculators, playbooks, and decision tools for commercial strategy. Resources may be available to free-tier or paid-tier users depending on the resource. Specific licensing terms for toolkit resources are described in Section 6.3.

2.5 Market Signals (signals.fintastiq.com)
The signals platform provides competitive intelligence and market monitoring capabilities. Important limitations:

  • Market data is aggregated from third-party sources. FintastIQ does not control and makes no warranties regarding the accuracy, completeness, timeliness, or reliability of third-party data
  • Signals data is provided for informational purposes only and does not constitute investment advice, business advice, or a recommendation to take or refrain from any particular action
  • Users are responsible for independently verifying any information obtained through the signals platform before making business decisions
  • FintastIQ is not liable for any losses, damages, or decisions made in reliance on signals data

2.6 Software Products
FintastIQ offers integrated software modules for pricing, sales, marketing, and product analytics, accessible through a single account. Features and service levels may vary by subscription tier.

2.7 Consulting Services
Consulting engagements are defined in separate Statements of Work. These Terms provide the general framework; the signed engagement agreement controls for engagement-specific matters.

3. Subscription, Payment, and Refunds

3.1 Pricing and Billing
Fees for Academy subscriptions, toolkit access, and software products are displayed on the applicable platform. All fees are in U.S. dollars unless otherwise specified. Payments are processed by Stripe.

3.2 Free Trials
Paid Academy plans include a 7-day free trial. If you do not cancel before the trial expires, your subscription automatically converts to a paid plan and your payment method is charged.

3.3 Refund Policy
All purchases of Academy courses, toolkit subscriptions, and software products are non-refundable. Access to digital content and platform functionality is provided immediately upon purchase or trial conversion. You may cancel at any time to prevent future charges, but no partial or prorated refunds are provided for the current billing period.

3.4 Consulting Payment Terms
Consulting invoices are due within thirty (30) days unless otherwise specified in the engagement agreement. Late payments accrue interest at 1.5% per month (or the maximum rate permitted by law). FintastIQ may suspend Services for balances exceeding sixty (60) days past due.

4. Acceptable Use

You agree to use the Services only for lawful purposes. You agree not to:

  • Use the Services in any manner that could damage, disable, or impair their functionality
  • Attempt to gain unauthorized access to any FintastIQ systems, networks, or data
  • Use automated tools, bots, or scraping technologies to extract content or data without written consent
  • Reverse engineer, decompile, or disassemble any software or technology underlying the Services
  • Use the Services to develop a competing product or service
  • Redistribute, resell, or sublicense toolkit resources, course materials, or signals data to third parties
  • Use signals data as the sole or primary basis for investment decisions
  • Share account credentials or allow unauthorized third parties to access your account
  • Transmit malicious code, viruses, or harmful content
  • Misrepresent the source of assessment results, diagnostic outputs, or FintastIQ’s endorsement

FintastIQ reserves the right to restrict, suspend, or terminate access for violations of this acceptable use policy. Free-tier users are subject to the same restrictions as paid-tier users. Paid-tier access does not grant additional redistribution or commercial exploitation rights unless explicitly authorized in writing.

5. Intellectual Property: FintastIQ

All content on FintastIQ platforms, including text, graphics, logos, images, course materials, frameworks, methodologies, tools, templates, assessment instruments, diagnostic models, software code, algorithms, and reports, is the property of FintastIQ LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

FintastIQ retains ownership of all proprietary methodologies, frameworks, tools, templates, and pre-existing intellectual property. Nothing in these Terms transfers ownership of FintastIQ’s intellectual property to any user or client unless explicitly stated in a separate written agreement.

6. Intellectual Property: Users

6.1 User-Created Content (Software Products)
You retain ownership of all content, models, reports, dashboards, and outputs you create using our software products. FintastIQ does not claim ownership of your work product. By using the Services, you grant FintastIQ a limited, non-exclusive license to host, display, and process your content solely for the purpose of delivering the Services.

6.2 Anonymized Data
FintastIQ will only use anonymized and aggregated data derived from your use of the Services for benchmarking, product improvement, or thought leadership if you have provided explicit opt-in consent. Manage your preferences through account settings or at legal@fintastiq.com.

6.3 Toolkit Resources: Licensing
Frameworks, calculators, playbooks, and decision tools downloaded from toolkit.fintastiq.com are licensed, not sold. The following terms apply:

  • You receive a non-exclusive, non-transferable license to use downloaded resources for your personal and internal business purposes
  • You may customize and adapt downloaded resources for your own use, and you own the outputs you create by applying them to your data
  • The underlying templates, formulas, frameworks, and methodologies embedded in toolkit resources remain the intellectual property of FintastIQ
  • You may not redistribute, resell, sublicense, publish, or make toolkit resources available to third parties in their original or substantially similar form
  • You may not use toolkit resources to create competing products, courses, or consulting deliverables that replicate FintastIQ’s proprietary frameworks
  • This license terminates upon cancellation of your account or termination of these Terms

6.4 Academy Content
Course materials are licensed for your personal and internal business use only. You may not reproduce, distribute, resell, or create derivative works from Academy content without written consent. Completion certificates are non-transferable.

6.5 Consulting Deliverables
Unless otherwise specified in a signed engagement agreement, consulting deliverables are licensed to the client for internal business use upon full payment. FintastIQ retains the right to use anonymized methodologies and general insights for its own business purposes.

7. Confidentiality

Both parties acknowledge they may receive confidential information in the course of using the Services or an engagement. Each party agrees to:

  • Treat confidential information with no less than reasonable care
  • Use confidential information solely for the purposes of the Services or engagement
  • Not disclose confidential information to third parties without written consent, except as required by law

7.1 Enhanced Protections for Engagement Data
Data submitted through diagnose.fintastiq.com or provided in connection with a consulting engagement may include highly sensitive business information. In addition to the general confidentiality obligations above, FintastIQ applies the following enhanced protections to engagement-level data:

  • Access is restricted to the specific FintastIQ personnel assigned to the engagement
  • Raw client data is stored on Microsoft SharePoint with access controls and audit logging
  • Engagement data is not commingled with data from other clients or used for product development without explicit written consent
  • Upon engagement completion or client request, engagement data is deleted or returned in accordance with the engagement agreement

Confidentiality obligations survive for two (2) years after termination, unless a different period is specified in a separate agreement. Standard exceptions apply for publicly available information, prior knowledge, independent development, and lawful third-party disclosure.

8. Artificial Intelligence

FintastIQ uses Anthropic AI products to power certain features. By using the Services, you acknowledge:

  • Assessment scoring, diagnostic analysis, content generation, and insights features are AI-assisted
  • AI-generated outputs are directional guidance, not definitive professional advice
  • Your data may be processed by Anthropic’s systems per our Privacy Policy and Anthropic’s terms
  • Personal data is not used for training third-party AI models
  • Human review is applied to AI-assisted decisions with material user impact

9. Disclaimers and Limitation of Liability

9.1 General Disclaimer
The Services are provided “as is” and “as available” without warranties of any kind. FintastIQ disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

9.2 Advisory Nature
Assessment results, diagnostic outputs, Academy content, toolkit resources, signals data, and software analytics are advisory and informational. They do not constitute professional consulting, investment, or business advice unless provided under a signed engagement agreement. You are responsible for all implementation decisions.

9.3 Signals Data Disclaimer
Competitive intelligence and market data provided through signals.fintastiq.com is aggregated from third-party sources. FintastIQ makes no representations or warranties regarding the accuracy, completeness, timeliness, or reliability of this data. FintastIQ expressly disclaims liability for any losses, damages, or adverse outcomes resulting from reliance on signals data. Users should independently verify all information and exercise their own judgment before taking action based on market intelligence.

9.4 No Guaranteed Outcomes
FintastIQ does not guarantee specific business outcomes, revenue results, or financial performance. Historical metrics cited in marketing materials reflect past client outcomes and are not guarantees of future results.

9.5 Limitation of Liability
To the fullest extent permitted by law, FintastIQ’s total aggregate liability for any claims arising from the Services will not exceed the fees paid by you during the twelve (12) months preceding the event giving rise to the claim.

FintastIQ will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, regardless of the theory of liability.

10. Indemnification

You agree to indemnify, defend, and hold harmless FintastIQ LLC, its officers, directors, employees, agents, and affiliates from claims, liabilities, damages, losses, and expenses arising from:

  • Your violation of these Terms
  • Your unauthorized use of the Services
  • Your infringement of third-party intellectual property or other rights
  • Any content you create, upload, or distribute through the Services that violates applicable law
  • Your redistribution of toolkit resources, course materials, or signals data in violation of the licensing terms

11. Term and Termination

11.1 Term
These Terms remain in effect for as long as you access any FintastIQ Service or maintain an active account.

11.2 Termination by You
You may stop using the Services and request account deletion at legal@fintastiq.com. Cancellation prevents future charges but does not entitle you to a refund for the current billing period.

11.3 Termination by FintastIQ
We may suspend or terminate access at any time for Terms violations, harmful conduct, or outstanding balances exceeding sixty (60) days.

11.4 Effect of Termination
Upon termination, access ceases immediately. We retain data for 30 days to allow export requests, then delete personal data per our Privacy Policy. Toolkit resources downloaded prior to termination may be retained for internal use, but the license to download new resources terminates. Provisions for intellectual property, confidentiality, limitation of liability, indemnification, and governing law survive termination.

11.5 Consulting Engagements
Engagement termination is governed by the applicable agreement. Absent specific provisions, either party may terminate upon thirty (30) days’ written notice, subject to payment for services rendered.

12. Enterprise Data Processing

Enterprise clients, including private equity firms and portfolio companies, may request a separate Data Processing Agreement (DPA) governing the processing of personal data in connection with consulting engagements or platform usage. DPA requests should be directed to legal@fintastiq.com.

Where a DPA is executed, its terms govern data processing for that client to the extent they conflict with these Terms or our Privacy Policy. DPAs may include additional commitments regarding data localization, breach notification timelines, sub-processor management, and audit rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Illinois, without regard to conflict of laws principles.

Disputes will first be submitted to good-faith negotiation for thirty (30) days. Unresolved disputes may be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Chicago, Illinois.

Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

14. Modifications

FintastIQ may modify these Terms at any time. Material changes will be reflected by updating the “Last Updated” date and notifying users via email or platform notification. Continued use after modification constitutes acceptance. We will provide at least thirty (30) days’ advance notice of material adverse changes.

15. General Provisions

15.1 Entire Agreement
These Terms, our Privacy Policy, and any applicable engagement agreements constitute the entire agreement. Signed engagement agreements control in case of conflict.

15.2 Severability
If any provision is held invalid, the remaining provisions continue in effect. The invalid provision is modified to the minimum extent necessary.

15.3 Waiver
Failure to enforce any right is not a waiver. Waivers must be in writing.

15.4 Assignment
You may not assign without written consent. FintastIQ may assign without restriction in connection with a merger, acquisition, or asset sale.

15.5 Force Majeure
FintastIQ is not liable for delays caused by events beyond reasonable control, including natural disasters, pandemics, government actions, cyber attacks, or utility interruptions.
